01

Scope and identity of the seller

These general terms and conditions of sale (the “Terms”) govern all orders placed on the website bubblebymiru.com with http5000, a simplified joint-stock company (société par actions simplifiée, SAS) with a share capital of 15 024 €, whose registered office is at 3 rue Passet, 69007 Lyon, France, registered with the Lyon 431 903 376 trade and companies register under SIRET number 431 903 376 00033, intra-community VAT number FR 48 431 903 376 (the “Seller”), which operates the Bubble by MiruMiru brand.

They apply to any natural person acting for purposes outside their trade, business, craft, profession or farming activity (the “Buyer”), within the meaning of the preliminary article of the French Consumer Code (code de la consommation).

The Seller can be contacted by phone on 04 85 88 02 73 or by email at info@mirumiru.eu.

Placing an order implies full acceptance of these Terms, in the version online on the day of the order. They are available on the website at all times and are provided to the Buyer on a durable medium, attached to the order confirmation.

02

The products

The Seller sells edible glitter, food additives intended for decorating drinks, cakes and desserts. It is sold in 12 gram jars, in twelve shades.

The main characteristics of each product (size, shade, ingredients, allergens, shelf life) are set out on its product page, in accordance with articles L111-1 and L221-5 of the French Consumer Code.

Photographs illustrate the products; the shades shown on a screen may differ slightly from the actual shade. This difference, inherent in the way screens display colour, does not constitute a lack of conformity.

Offers are valid for as long as they are visible on the website and while stocks last. If an item turns out to be unavailable after the order has been placed, the Seller informs the Buyer and refunds them in full as soon as possible.

03

Prices

Prices are shown in euros including all taxes, with French VAT at the reduced rate of 5.5% included, excluding delivery charges. The amount of the delivery charges is shown before the order is confirmed, in accordance with article L221-5.

The price that applies is the one displayed on the day of the order. The Seller reserves the right to change its prices at any time; products are invoiced at the prices in force when the order is recorded.

An invoice is sent to the Buyer by email and remains available in their customer account.

04

Ordering

The Buyer selects their products, enters their details and delivery address, chooses a payment method and then confirms the order. Before confirming, they are shown a detailed summary allowing them to check the contents of their basket, the total price and the delivery charges, and to correct any mistakes.

Confirming the order means accepting the prices and these Terms. It creates an obligation to pay, as stated on the confirmation button in accordance with article L221-14.

The sale is only final once the Seller has confirmed it by email. The Seller reserves the right to refuse or cancel an order that appears abnormal, in particular where there has been a previous payment dispute.

05

Payment

The full price is payable when the order is placed. Two payment methods are offered.

Bank card and digital wallets. Payment is processed by Stripe Payments Europe, Ltd. Card details are entered in a form hosted by Stripe and never pass through the Seller’s servers; the Seller has no access to them at any time.

Bank transfer. The order is reserved as soon as it is received and dispatched once the payment has actually been received. If the transfer has not arrived within eight days, the Seller may cancel the order after informing the Buyer.

The Seller remains the owner of the products until the price has been paid in full. The risk passes to the Buyer when the goods are physically handed over to them, in accordance with article L216-4.

06

Delivery

Products are dispatched to the address given by the Buyer when ordering. A tracking number is sent to them as soon as the parcel is handed to the carrier.

Delivery is free to mainland France, including Corsica. It costs €12 including VAT to any other destination: French overseas territories, the European Union and the rest of the world. The exact amount is shown again before the order is confirmed.

Outside the European Union, customs duties and import taxes are payable by the recipient and are not included in this amount.

Products are dispatched within 48 working hours and delivered within 2 to 4 working days of dispatch. These times are given as a guide. In any event, the Seller delivers no later than thirty days after the contract is concluded, as required by article L216-1.

If this time limit is exceeded, the Buyer may require the Seller to deliver within a reasonable additional period and, failing that, terminate the contract by registered letter or in writing on a durable medium (art. L216-2). The Seller then refunds all sums paid, no later than fourteen days after termination.

07

Receiving your order and complaints

The Buyer is advised to check the condition of the parcel on delivery. If anything is damaged or missing, it helps to note this with the carrier and to let the Seller know.

Such notes make it easier to deal with the carrier, but not making them does not take away any of the Buyer’s rights: the Seller is automatically liable to the consumer for the proper performance of the contract (art. L221-15), including where the damage is the carrier’s fault.

08

Right of withdrawal

The Buyer has 14 days from receipt of their order to exercise their right of withdrawal, without having to give a reason or bear any costs other than those set out below (art. L221-18).

A single limit: opened jars

Jars unsealed after delivery cannot be taken back for reasons of hygiene and health protection (art. L221-28, 4° of the French Consumer Code). The right of withdrawal therefore applies to unopened jars, in their original packaging.

To exercise this right, the Buyer simply sends the Seller an unequivocal statement. An email to info@mirumiru.eu is enough. The model withdrawal form is available, but using it is not compulsory.

The Buyer may also exercise this right online, throughout the withdrawal period, using the website’s withdrawal function (Withdraw from contract here), available from the footer of every page, the “Returns and withdrawal” page, the customer account and the order confirmation email (art. L221-21). The Seller then sends, without delay, an acknowledgement of receipt on a durable medium (email) stating the content of the notice and the date and time it was sent. To meet the withdrawal deadline, it is sufficient for the Buyer to send the communication before the withdrawal period has expired.

The products must be sent back no later than fourteen days after the decision to withdraw has been communicated. The direct cost of returning the goods is borne by the Buyer.

The Seller refunds all sums paid, including standard delivery charges, without undue delay and no later than 14 days from the day on which it is informed of the decision to withdraw (art. L221-24). It may withhold the refund until it has received the products back or the Buyer has supplied evidence of having sent them, whichever is the earliest. The refund is made using the same payment method as the one used for the order, unless the Buyer expressly agrees to another method.

09

Legal guarantees

The Seller is liable for any lack of conformity of the goods (art. L217-3 et seq. of the French Consumer Code) and for hidden defects (art. 1641 et seq. of the French Civil Code). These guarantees are independent of the right of withdrawal and apply whether or not the jar has been opened.

The box below reproduces the statements that article D211-3 of the French Consumer Code requires to appear in the terms and conditions of sale.

Legal guarantee of conformity: mandatory statements

The consumer has two years from delivery of the goods to obtain the benefit of the legal guarantee of conformity if a lack of conformity appears. During this period, the consumer only has to prove the existence of the lack of conformity, not the date on which it appeared.

The legal guarantee of conformity entails an obligation to guarantee any lack of conformity that exists when the goods are delivered and that appears within two years.

The legal guarantee of conformity entitles the consumer to have the goods repaired or replaced within thirty days of their request, free of charge and without major inconvenience to them.

If the goods are repaired under the legal guarantee of conformity, the consumer benefits from a six-month extension of the original guarantee.

If the consumer asks for the goods to be repaired but the seller imposes a replacement, the legal guarantee of conformity is renewed for a period of two years from the date on which the goods are replaced.

The consumer may obtain a reduction in the purchase price while keeping the goods, or end the contract and obtain a full refund in return for giving the goods back, if:

  1. The professional refuses to repair or replace the goods;
  2. The repair or replacement of the goods takes place after a period of thirty days;
  3. The repair or replacement of the goods causes major inconvenience to the consumer, in particular where the consumer definitively bears the cost of taking back or removing the non-conforming goods, or bears the cost of installing the repaired or replacement goods;
  4. The lack of conformity persists despite the seller’s unsuccessful attempt to bring the goods into conformity.

The consumer is also entitled to a price reduction or to terminate the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination. In that case, the consumer is not required to ask for the goods to be repaired or replaced first.

The consumer is not entitled to terminate the sale if the lack of conformity is minor.

Any period during which the goods are out of use for repair or replacement suspends the remaining guarantee period until the repaired goods are delivered.

The rights mentioned above result from articles L217-1 to L217-32 of the French Consumer Code.

A seller who obstructs the implementation of the legal guarantee of conformity in bad faith is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual turnover (article L241-5 of the French Consumer Code).

The consumer also benefits from the legal guarantee against hidden defects under articles 1641 to 1649 of the French Civil Code, for two years from discovery of the defect. This guarantee entitles the consumer to a price reduction if the goods are kept, or to a full refund in return for giving the goods back.

To use either of these guarantees, simply write to info@mirumiru.eu describing the defect.

Using the products and food safety

The glitter sold is a food additive intended for decoration. It is free from titanium dioxide, vegan, gluten-free and contains no declared allergens.

The Buyer should refer to the label on the jar before use, in particular when preparing food for other people. The full list of ingredients and the best-before date appear on the packaging, which is authoritative.

The usage tips published on the website are given as a guide only and do not make the Seller liable for the result obtained in any particular recipe.

11

Liability

The Seller is automatically liable to the Buyer for the proper performance of the obligations arising from the distance contract, in accordance with article L221-15, whether those obligations are performed by the Seller itself or by other service providers.

It may be released from this liability by proving that the failure is attributable either to the Buyer, or to the unforeseeable and insurmountable act of a third party unconnected with the contract, or to force majeure.

No clause in these Terms may limit this liability beyond what the law allows: such a clause would be deemed unwritten (art. R212-1).

12

Personal data

The data collected when ordering is needed to process the order, for delivery, invoicing and after-sales service. It is never sold or transferred.

Details of the processing, recipients, retention periods and how to exercise the rights granted by Regulation (EU) 2016/679 are set out in the privacy policy, which forms an integral part of these Terms.

13

Consumer mediation and disputes

If there is a complaint, the Buyer should first contact customer service at info@mirumiru.eu or on 04 85 88 02 73.

Consumer mediator: appointment in progress

The Seller is in the process of joining a consumer mediation scheme. The mediator’s contact details will be published here as soon as they are known. In the meantime, the Buyer retains all their rights, including the right to bring the matter before the competent court.

These Terms are governed by French law. If no amicable solution is found, the dispute may be brought before the competent court; in accordance with article R631-3 of the French Consumer Code, the Buyer may choose to bring proceedings in the court for the place where they lived when the contract was concluded or when the harmful event occurred.

14

General provisions

If any provision of these Terms is declared void or unenforceable, the other provisions remain fully in force.

The Seller’s failure to rely on a breach may not be interpreted as a waiver of its right to rely on it later.

These Terms are provided to the Buyer on a durable medium no later than at the time of delivery, in accordance with article L221-13.
